3.7.1 Kin Yat will comply with all Materials Declaration requirements for all third party suppliers that supply components to the Manufacturing Services. Kin Yat shall obtain, maintain and have available for inspection at all times a document attesting that all third suppliers and their components are in compliance with the applicable Material Declaration Requirements. Kin Yat is solely responsible for the accuracy and sufficiency of such verification.

4.2.1 Kin Yat shall use only the components and materials that have been approved by iRobot for the Manufacturing Services in accordance with the Specifications, including any specifications, engineering modifications or amendments to them. Kin Yat shall be responsible for preserving, acquiring and making readily available for inspection by iRobot or its designee any documentation indicating that all of its third supplier partners are in compliance with the applicable Material Declaration Requirements.

4.2.2 Kin Yat will monitor and report to irobot Price each month the percentage of Purchase orders that are delivered on time. This is based on irobot shop's definition of "on-time" that includes shipping the components, materials, and products ordered by iRobot to be delivered within the Lead Time, and any deadlines for shipping as specified in the relevant Product specifications. Kin Yat must also maintain documents of all Supplier Quality Assurance testing and evaluations.
